Two Major Japanese Chemical Companies Set to Merge for $1.5 Billion

Taiyo Holdings Co. is considering a collaboration with the Japanese investment fund JIP (Japan Industrial Partners Inc.) to explore a potential merger with DIC Corporation. This move aims to integrate the two major chemical companies in Japan, forming a stronger entity.


According to insiders, Taiyo Holdings and JIP are working with consultants to conduct a preliminary assessment of this potential transaction. Currently, this matter has not been made public. Taiyo Holdings’ market value rose to approximately $1.5 billion in 2024, while DIC, as its largest shareholder, holds over 19% of the shares. DIC's stock price also saw a 22% increase in 2024, valuing it at $2 billion, with Hong Kong investor Oasis holding 11.5% of the shares, becoming its second-largest shareholder.


Despite ongoing discussions, it remains uncertain whether the transaction will ultimately be completed. Representatives from Taiyo Holdings, JIP, and DIC have not commented on the matter. Notably, DIC acquired 19.5% of Taiyo Holdings’ voting shares in 2017 through equity issuance and alliances.


Taiyo Holdings focuses on producing chemical products required by the electronics industry, including printed circuit boards, and has involvement in the pharmaceutical and other sectors. DIC specializes in producing printing inks, organic pigments, and resins.
