AiolosBio: The Middleman with an Eye for Opportunity in the Pharmaceutical Industry?
On January 9, pharmaceutical giant GlaxoSmithKline (GSK) announced its acquisition agreement with AiolosBio, a move aimed at strengthening its portfolio in the respiratory and inflammation drug market. With a $1 billion upfront payment to Aiolos shareholders and commitments of up to $400 million in regulatory milestone fees, this acquisition represents a strategic investment for GSK. While the completion timeline remains undisclosed, both companies have highlighted the need for antitrust approvals and other customary closing conditions.
AIO-001: Aiolos' Key Asset:
At the heart of the acquisition lies Aiolos' flagship product, AIO-001, a long-acting monoclonal antibody targeting thymic stromal lymphopoietin (TSLP) cytokine. Aiolos claims that blocking TSLP is the only biologic approach that demonstrates clinical efficacy across all types of moderate to severe asthma. Notably, AIO-001 was originally introduced to Aiolos through a partnership with Hengrui Medicine. Consequently, as part of the acquisition, GSK will pay milestone and tiered royalties to Hengrui.
The Potential of AIO-001:
AIO-001's high potency and long half-life, requiring dosing only twice a year, sets it apart from previously approved anti-TSLP drugs like Tezspire, developed jointly by AstraZeneca and Amgen, which requires monthly dosing and received US approval in 2021. Recognizing this potential, Aiolos secured $245 million in Series A funding just three months ago in October 2023. The funding round attracted prominent investors, including Atlas Venture, Bain Capital Life Sciences, and Sofinnova Investments.
The Founders of AiolosBio:
AiolosBio was co-founded in January 2023 by Tony Adamis and Khurem Farooq. Khurem Farooq, the co-founder and CEO, brings over 25 years of leadership experience in drug development and operations. He previously served as CEO of gene therapy company Gyrograph Therapeutics and Senior Vice President and Head of Immunology and Ophthalmology at Genentech. Tony Adamis, a co-founder and member of the National Academy of Medicine, also worked at Genentech and gained recognition for his co-discovery of the central role of VEGF in ocular diseases. Throughout his career, Tony led teams in the development of 20 drugs targeting 30 indications, involving global trials with over 25,000 patients, seven of which received FDA breakthrough therapy designations.
The Vision of Seasoned Pharma Veterans:
These two experienced pharmaceutical veterans joined forces to establish a biotech company with a focus on immunology. Their keen eye for promising drug candidates led them to Hengrui's SHR-1905, later known as AIO-001. Prior to the authorization of AIO-001 to Aiolos, Hengrui Medicine had already invested CNY 57.05 million ($8.86 million) in its development, with promising clinical data. Tony Adamis has emphasized the molecule's effectiveness, supporting GSK's conclusion that SHR-1905 may be a "Best-in-Class" compound.
AiolosBio's acquisition by GSK showcases the value of its strategic focus on TSLP-targeting therapies, particularly with AIO-001 as a potential breakthrough in asthma treatment. With the combined expertise of Tony Adamis and Khurem Farooq, AiolosBio swiftly secured funding and attracted the attention of a major pharmaceutical player like GSK. The story of AiolosBio serves as a testament to the entrepreneurial spirit and industry acumen that can create remarkable opportunities in the pharmaceutical landscape.
