Merger Details Revealed: Mindray's $660 Million Acquisition Deal
In a recent development, Mindray, a prominent medical technology company, has unveiled the details of its highly anticipated acquisition deal worth $660 million. The strategic move aims to expand Mindray's presence in the cardiovascular sector. Mindray's Strategic Acquisition:
On January 28th, Mindray held a conference call to address various details related to its latest acquisition and its future merger plans. Mindray's wholly-owned subsidiary, Shenzhen Mindray Control, entered into a share transfer agreement with Huatai Medical, a leading domestic company in the electrophysiology field. The agreement entails Shenzhen Mindray Control acquiring approximately 14.12 million shares of Huatai Medical, amounting to 21.12% of the total share capital, at a price of 471.12 yuan per share. The transaction is valued at approximately 6.65 billion yuan ($660 million).
Additionally, Shenzhen Mindray Control intends to acquire the entire 0.12% general partnership interest held by Zhuhai Tongsheng, which currently owns 3.49% of Huatai Medical's shares. As a result, Shenzhen Mindray Control will directly hold around 14.12 million shares, representing 21.12% of Huatai Medical's total share capital. Shenzhen Mindray Control, together with Zhuhai Tongsheng, will hold a combined 24.61% stake in Huatai Medical after the completion of the transaction. This acquisition is estimated to be valued at 30.2 billion yuan, reflecting a 25% premium over Huatai Medical's closing price on January 26th.

Similarly, the global accessible market for coronary artery intervention and peripheral vascular intervention products is expected to exceed $20 billion, with the domestic market in China exceeding 15 billion yuan ($2.3 billion). Investing in these areas will enable Mindray to capitalize on new market opportunities and contribute to its sustained rapid growth.
