Honeywell Acquires Sundyne for 2.16 Billion USD Boosting Energy Solutions
On March 5, 2025, Honeywell announced its agreement to acquire Sundyne from private equity firm Warburg Pincus for $2.16 billion in cash. This acquisition is valued at approximately 14.5 times Sundyne's projected EBITDA for 2024. Sundyne is recognized as a leader in the design, manufacturing, and after-sales service of industrial high-speed pumps and compressors.
The integration of Sundyne will enhance Honeywell’s Energy and Sustainable Technologies Group (ESS), reinforcing its capacity to drive innovation and efficiency while addressing the critical global demand for energy security. Sundyne's strong customer relationships and high-quality products will unlock strategic growth potential for Honeywell UOP in sectors such as oil refining, liquefied natural gas (LNG), and clean renewable fuels.
This merger is expected to strengthen Honeywell's product portfolio and enable digitalization of Sundyne equipment through the Honeywell Connected platform, improving reliability and preventative maintenance. With Honeywell's R&D capabilities, the combined entity will accelerate new product development in pumps and compressors.
Headquartered in Arvada, Colorado, Sundyne operates globally with around 1,000 employees, leveraging a substantial customer base for consistent aftermarket revenue. The integration is anticipated to yield significant revenue synergies with Honeywell UOP's process licensing, modular advantages, and global sales network.
This acquisition follows Honeywell's recent announcements regarding the spin-off of its aerospace business and high-performance materials division. The spin-off aims to create three independently listed companies, each with distinct strategies and growth drivers. Honeywell is committed to transforming its business portfolio to enhance the value proposition of each segment.
Since December 2023, Honeywell has undertaken several strategic actions to drive organic growth and simplify its business structure, including approximately $9 billion in value-added acquisitions such as Carrier’s global security business, Civitanavi Systems, and Air Products' LNG business. Additionally, the company has signed an agreement to divest its personal protective equipment business, expected to close in the first half of 2025. Honeywell plans to invest at least $25 billion in high-return capital expenditures, dividends, opportunistic stock repurchases, and value-added acquisitions by 2025.
The acquisition of Sundyne is projected to close in the second quarter of 2025, pending customary closing conditions, including regulatory approvals.
