Biocon Weighs Merger of Biocon Biologics to Unlock Value
Biocon Ltd is actively exploring the possibility of merging its biosimilars subsidiary, Biocon Biologics, with the parent company in a move that could value the transaction at up to $4.5 billion. As part of this strategic review, the company is considering a range of options, including a share-swap arrangement, a public offering, or a blended approach.
One key driver of this exploration is the company’s aim to reduce debt incurred from recent acquisitions, which has been a concern for investors. The financial analysis supporting the review is being conducted by a global advisory firm, helping Biocon evaluate which option offers the greatest long-term value creation.
Biocon currently owns a large majority stake in its biologics arm, with additional investment from major industry partners. The company emphasized that discussions remain preliminary and non-binding, with any final decision requiring approval from shareholders, the board, and regulators.
The leadership maintains that all possibilities remain open as they assess how best to optimize the company’s biosimilars portfolio and improve financial flexibility.
