Johnson & Johnson's $14.6 Billion Acquisition of ITCI Causes a Stir

Johnson & Johnson announced on Monday that it will acquire the neuropharmaceutical manufacturer Intra-Cellular Therapeutics (ITCI.O) for $14.6 billion, significantly enhancing Johnson & Johnson's position in the brain disease treatment market and marking the company's largest deal in over two years. This acquisition is expected to accelerate the growth of Johnson & Johnson's pharmaceutical business, especially after the company divested its consumer health division in 2023. In recent years, Johnson & Johnson has completed multiple transactions to promote the development of its pharmaceutical and medical device divisions, including the $13.1 billion acquisition of Shockwave Medical in 2024.


At a significant industry conference in San Francisco, CEO Joaquin Duato stated, “These transactions are not happening every day; for us, larger deals are more of an exception.” Bankers expect more transactions to occur at the conference, predicting that the total amount of gaming activity could exceed $10 billion by 2025. The market anticipates that once Donald Trump takes office on January 20, antitrust reviews will ease.


Johnson & Johnson proposed to acquire Intra-Cellular Therapeutics at a price of $132 per share, representing a 39% premium over the stock's closing price last Friday. In afternoon trading, Intra-Cellular Therapeutics' stock rose 34% to $128, while Johnson & Johnson's stock increased by 1.5%. This transaction will provide Johnson & Johnson with Intra-Cellular's oral treatment drug Caplyta and other experimental drugs in development. Caplyta has been approved in the U.S. for the treatment of schizophrenia and bipolar depression episodes.


According to data compiled by LSEG, Caplyta generated $481.3 million in sales in the first nine months of 2024, with some analysts expecting that it will not face generic competition until 2040. Analysts forecast that sales for this therapy will exceed $1 billion next year. RBC Capital analyst Shagun Singh noted that this deal strategically aligns with Johnson & Johnson's neuropharmaceutical division, which is an important area for the company.
