Thriving Alliances: The Rise of ADC Collaborations in the Pharmaceutical Industry

1. A Global Licensing Agreement Between Nova Biomedical and Pfizer:
On December 15th, Nova Biomedical, a wholly-owned subsidiary of Harbour Biomed, announced a global licensing agreement with Pfizer for the targeted antibody-drug conjugate (ADC) HBM9033, a human mesothelin-specific ADC. The agreement entails Nova Biomedical receiving a $53 million upfront payment, potential milestone payments of up to $1.05 billion, and tiered royalties ranging from high single-digit to high double-digit percentages of net sales. The total potential value of the licensing deal exceeds $1.1 billion.
2. Strategic Collaboration Between SystImmune and Bristol Myers Squibb (BMS):
SystImmune, a subsidiary of Biocytogen, entered into an exclusive licensing and collaboration agreement with BMS on November 13th. The partnership focuses on the EGFRxHER3 bispecific antibody-drug conjugate (ADC) BL-B01D1. Under the agreement, BMS will provide an $800 million upfront payment and up to $500 million in near-term or contingent payments. SystImmune stands to earn additional payments of up to $7.1 billion based on achievement of development, regulatory, and sales milestones, making the potential total transaction value reach $8.4 billion.
3. Johnson & Johnson's Licensing Agreement with GlaxoSmithKline (GSK):
Johnson & Johnson announced an exclusive licensing agreement with GSK for the ADC drug HS-20089 on October 20th. As per the agreement, Johnson & Johnson will receive an $85 million upfront payment and is eligible for milestone payments of up to $1.485 billion based on specified development achievements. This collaboration also marks a joint effort between Merck and Daiichi Sankyo to co-develop three ADC projects globally, with a total agreement value of $22 billion.
4. Strategic Collaboration and Global License Agreement Between Genor Biopharma and BioNTech:
Genor Biopharma and BioNTech announced a strategic collaboration and global license agreement on October 12th, focusing on the development of the next-generation ADC targeting human epidermal growth factor receptor 3 (HER3). Under the terms of the agreement, BioNTech gains exclusive rights to develop, manufacture, and commercialize the ADC product globally (excluding Mainland China, Hong Kong, and Macau). Genor Biopharma will receive an upfront payment of $70 million, along with additional milestone payments for development, regulatory, and commercial achievements, with a potential total value exceeding $1 billion.
