FORSUNPHARMA Announces Major Strategic Move to Privatize Henlius

On June 24, 2024, FORSUNPHARMA announced a major strategic move in its official announcement, planning to privatize its core innovative assets - Henlius - through an absorption and merger. This decision aims to further strengthen FORSUNPHARMA's strategic layout in the field of innovative biopharmaceuticals and drive the sustainable growth of Henlius.

 

The cash consideration for this absorption and merger transaction is set at HKD 24.6 per share, which represents a premium of up to 36.67% over the closing price on the unaffected trading day, and a premium of 52.04% over the average price of the 30 trading days prior to the unaffected trading day. Overall, the cash consideration for this absorption and merger is not expected to exceed approximately HKD 5.407 billion, or the equivalent in RMB. This move not only reflects FORSUNPHARMA's high recognition of Henlius, but also demonstrates its firm confidence in the future of the biopharmaceutical industry.
