Nippon Paint Invests $680 Million to Acquire Indian Coatings Company
On November 18, 2024, Nippon Coatings Holdings Limited (hereinafter referred to as "NPHD" or "Nippon") once again demonstrated its deep strategic vision and excellent execution ability. Announced that it has officially completed the acquisition and payment of shares in Nippon Coatings (India) Pte LTD (hereinafter referred to as "NPI") and Berger Nippon Coatings Automotive Pte LTD (hereinafter referred to as "BNPA") on 16 November.
In retrospect, Nippon entered into the Master Agreement and the Share Purchase Agreement (the "Share Transfer Agreement") in connection with the Acquisition on 29 August 2023. Under the agreement, Nippon will acquire the equity interest in NPI, while its subsidiary Nippon Automotive Coatings Limited (" NPAC ") will acquire the equity interest in BNPA. The total value of the two transactions is 14.472 billion yen (about 680 million yuan), of which NPI's transaction price is 12.178 billion yen and BNPA's transaction price is 2.294 billion yen.
It is worth noting that the trade was not done overnight, but through the execution of the call option. The option gives Nippon the right to repurchase the target companies, namely NPI and BNPA, pursuant to a master agreement signed with Isaac Newton Corporation (the "INC"), a member of the Ng Tak Nam Group (the parent company of Nippon).
According to the analysis, Nippon chose to buy back the equity of NPI and BNPA at this time, based on its well-thought-out strategic planning. In 2021, in view of external environmental factors such as market competition, the impact of the pandemic, rising raw material costs and the entry of new competitors, Nippon decided to significantly restructure and strengthen its business and maintain the flexibility to seize opportunities in the growth market of India. At that time, Nippon's agreement with INC already included a call option to repurchase the transfer business, laying the foundation for today's equity acquisition.
