Biobest plans to acquire BioWorks to accelerate its strategic expansion in biopesticide
Biobest, a global leader in biocontrol and pollination, has signed a non-binding letter of intent to acquire BioWorks, a manufacturer and marketer of biopesticides based in Victor, New York, USA
The acquisition will leverage BioWorks's innovative portfolio of biopesticide products in pest and disease control and its expertise in product development, marketing and logistics to accelerate Biobest's expansion in biopesticide. BioWorks has a continued focus on the horticulture and specialty agriculture markets and, as a member of Biobest following the proposed acquisition, expands the range of biopesticide solutions offered to reduce the industry's reliance on chemical pesticides.
Jean-Marc Vandoorn, CEO of Biobest, said: "Biopesticide solutions are a global strategic priority for us, and BioWorks has a strong portfolio of products that growers need. Following the proposed acquisition, BioWorks will continue to actively serve the efficient distribution channels it has developed over the past 30 years, while adding new and unique biopesticides to add biocontrol solutions. BioWorks will operate independently of Biobest's beneficial insect and pollination business and Biobest's North American subsidiary."
The BioWorks headquarters will serve as the biopesticide production and marketing center for the entire company in North America. Located in Victor, New York, the facility covers more than 55,000 square feet of office, manufacturing, research and development, and storage space to serve the entire North American region. BioWorks also has warehouse and logistics space in Las Vegas, Nevada, to strengthen its supply to growers and distributors in the western United States.
"We are excited about the transformative nature of our partnership with Biobest and the solutions and support we offer to the market," said Bill Foster, CEO of BioWorks. “BioWorks' priority is to become one of the premier sustainable plant protection providers in North America. Growers, channel partners and our employees will all benefit from the partnership."
The completion of the transaction is subject to the evaluation of the investigation, the execution of the definitive acquisition agreement, and the satisfaction of certain closing conditions, including approval by the boards of directors of both companies and certain third party approvals.
