BMS's Acquisition of Karuna Therapeutics: A Game-Changer in Neuroscience?

In a recent announcement, Bristol Myers Squibb (BMS) revealed its finalized acquisition agreement with Karuna Therapeutics, a company specializing in neuroscience. The deal, valued at a staggering $14 billion, positions BMS to capitalize on significant opportunities in the field of neuroscience and accelerate the expansion and diversification of its product portfolio in this area.


Under the terms of the transaction, BMS will acquire all outstanding shares of Karuna at a cash price of $330 per share, representing a premium of approximately 53.4% over the previous day's closing price. The completion of the transaction is subject to regulatory and antitrust approvals, as well as approval from Karuna's shareholders. Both companies' boards of directors have unanimously agreed to the acquisition.


At the heart of the acquisition is Karuna's investigational muscarinic cholinergic receptor agonist, KarXT (xanomeline-trospium). Currently in the development stage, KarXT shows promise for the treatment of psychiatric disorders such as schizophrenia and Alzheimer's disease. Notably, in late November, the FDA accepted Karuna's new drug application for the treatment of schizophrenia, with a Prescription Drug User Fee Act (PDUFA) target action date set for September 26, 2024.


According to a recent announcement on December 22, KarXT is expected to be launched in the United States by the end of 2024. This therapy will enter a market with approximately 1.6 million treated schizophrenia patients, many of whom have shown inadequate response or severe side effects to existing medications.


Unlike existing therapies for schizophrenia, KarXT does not directly block dopamine receptors but instead simultaneously activates M1 and M4 muscarinic acetylcholine receptors in the central nervous system. This mechanism of action helps improve both the positive and negative symptoms of schizophrenia and enhances patients' cognitive abilities.


Karuna's co-founder and Chief Operating Officer, Andrew Miller, stated in an interview in April 2023 that if approved, KarXT would be the first new type of medication for schizophrenia in over 50 years. In addition to schizophrenia, Karuna is also developing KarXT for the treatment of psychosis in Alzheimer's disease, with results from the ongoing registration clinical trial expected by 2026.


It is worth mentioning that Reven Pharmaceuticals holds the rights to KarXT in China. In November 2021, Reven Pharmaceuticals and Karuna announced a licensing agreement for the development, manufacturing, and commercialization of KarXT in the Greater China region. KarXT has become one of Reven Pharmaceuticals' products in the central nervous system field, marking the expansion and diversification of its pipeline in this area. Currently, Reven Pharmaceuticals is conducting a Phase III bridging registration study in China to evaluate KarXT for the treatment of schizophrenia.


For BMS, the acquisition of Karuna represents a significant move amidst a series of recent deals in the past few months and serves as a grand finale for 2023. On October 8, BMS and Mirati Therapeutics announced a definitive merger agreement, with BMS agreeing to acquire Mirati for $58 per share in cash, valuing the total equity at $4.8 billion.


Regarding strategic partnerships, BMS has been active in recent times. Just two weeks ago, on December 11, BMS signed a collaboration agreement worth $8.4 billion with SystImmune, a wholly-owned subsidiary of Chinese pharmaceutical company BeiGene. This collaboration revolves around SystImmune's BL-B01D1 project, a potential first-in-class EGFR/HER3 bispecific antibody-drug conjugate (ADC) targeting diseases such as non-small cell lung cancer (NSCLC).


A few weeks earlier, BMS expanded its existing collaboration with Avidity Biosciences. BMS will utilize Avidity's AOC technology to develop up to five cardiovascular targets. Avidity will receive an upfront payment of $100 million, as well as potential milestone payments of up to $2.2 billion.


This transaction builds upon the prior collaboration between Avidity and BMS subsidiary MyoKardia. In 2021, the two companies announced a research collaboration demonstrating the effectiveness of AOC in cardiac tissue, expanding its applications beyond skeletal muscle.
