BASF Plans IPO for Agricultural Solutions Business

On November 11, 2025, BASF announced plans to list its Agricultural Solutions business on the Frankfurt Stock Exchange. The business will be structured as a European company (Societas Europaea, SE) for its initial public offering (IPO), marking a significant milestone in BASF’s “Winning Together” strategy. This move aims to create an independent, globally focused company with strong growth prospects and robust cash flow. BASF, as the majority shareholder, will continue to support and participate in the company’s development, implementing a standardized corporate governance structure.

The Agricultural Solutions division is being spun off into a separate legal entity and will adopt a dedicated ERP system tailored to the industry. This transformation has already been successfully implemented in North America, with other regions expected to follow by early 2027. The division will continue to deliver market-oriented innovative solutions to key global crop growers while maintaining high investment in R&D. BASF’s strategy emphasizes becoming one of the top three companies in seeds and plant traits, expanding digital and sustainable business models, and maintaining a leading position in crop protection.

The IPO plan was initially announced last year alongside BASF’s new strategic blueprint, with expansion plans in Asia and global seed markets. The division’s CEO Livio Tedeschi aims to increase seed business revenue share from 22% to 25% and expand market presence in Asia. BASF’s Agricultural Solutions ranks alongside Syngenta, Bayer, and Corteva as one of the four leading players in the industry. In Q3 2025, the business generated €1.748 billion in sales, a 5.4% decline year-on-year, while adjusted EBITDA rose 63.3% to €80 million.

Starting May 1, 2026, a new management committee will oversee the transition to an independent listed company. Dr. Livio Tedeschi will serve as Chairman of the Management Committee, Sascha Bibert will handle finance, Maximilian Becker will manage overall business operations, and Dr. Melanie Bausen-Wiens will oversee technical affairs.
