IntegraLifesciences Acquires Acclarent from Johnson & Johnson: A Strategic Move in the ENT Market

In a recent announcement on December 13, 2023, IntegraLifesciences, a leading organization in tissue repair, revealed its agreement to acquire Acclarent, a subsidiary of Johnson & Johnson specializing in ear, nose, and throat (ENT) products. The cash deal, valued at $275 million (approximately CNY 1.95 billion), includes an additional payment of $5 million upon achieving specific regulatory milestones. The integration of Acclarent into Integra's Codman Specialty Surgical (CSS) division is expected to be completed in the second quarter of 2024.


Integra's Business Segments:
IntegraLifesciences operates through two main business segments: Codman Specialty Surgical (CSS) and Tissue Technologies (TT). The CSS division encompasses neurosurgery and instrumentation, while the TT division focuses on complex wounds, surgical reconstruction, and peripheral nerve repair. In the fiscal year 2022, the CSS division accounted for 65% of the company's total revenue.


Strategic Rationale for the Acquisition:
The acquisition of Acclarent positions IntegraLifesciences as a leading provider of ENT products and technologies. Integra already offers the MicroFrance® series of instruments for ENT surgery, and the addition of Acclarent expands its portfolio with balloon technology for sinus and eustachian tube dilation, as well as surgical navigation systems. The close anatomical relationship between neurosurgery (a significant business for Integra) and ENT in skull base procedures further accelerates the company's research and development efforts in these areas.


Acclarent's Position and Product Portfolio:
Acclarent, a subsidiary of Ethicon (a Johnson & Johnson company), generated $110 million in revenue in 2022, with a gross margin comparable to Integra's average. Johnson & Johnson decided to divest this business unit to focus on faster-growing market segments. Acclarent is one of the largest suppliers of balloon sinus dilation technology and requires a dedicated sales force to support its products. Integra's acquisition of Acclarent at a price of $275 million is considered a favorable deal by analysts. The financial impact of the transaction on Integra's business has not been disclosed yet, but the company intends to share detailed forecasts after the completion of the deal.


Acclarent's product portfolio comprises airway balloon dilation systems, balloon sinus dilation devices, eustachian tube balloon dilation systems, nasal cavity dilation systems, surgical navigation, and sinus surgery instruments. Of particular interest to Integra is the TruDi® navigation system.


TruDi® Navigation System:
In September 2021, Acclarent launched TruDi®, an AI-supported ENT navigation system. This innovative image-guided platform includes two modules, TruSeg™ and TruPath™. The TruDi® system provides real-time visual tracking throughout the entire surgical process, ensuring surgical accuracy and ease of instrument use for surgeons.


In September of last year, Johnson & Johnson announced FDA 510(k) clearance for a surgical blade compatible with the TruDi® navigation system. The integrated disposable navigable electromagnetic blade displays real-time blade opening positions on the TruDi® navigation system. This blade is suitable for cutting or resection procedures involving soft and hard tissues or bones in ENT, maxillofacial, head and neck, and skull base surgeries.


IntegraLifesciences' acquisition of Acclarent from Johnson & Johnson represents a strategic move in the ENT market. By combining Integra's existing ENT surgical instruments with Acclarent's balloon dilation technology and surgical navigation systems, Integra aims to strengthen its position as a leading supplier in this field. The acquisition aligns with Integra's focus on tissue repair and complements its neurosurgery business.
