Pharmaceutical Giants' Strategic Acquisitions: Fueling Innovation and Conquering New Frontiers
In the dynamic landscape of the pharmaceutical industry, strategic acquisitions play a pivotal role in fueling innovation, expanding market presence, and addressing the challenges faced by industry giants. This article delves into the recent high-profile acquisitions by prominent pharmaceutical companies, highlighting their impact on the companies' growth trajectories and their pursuit of novel therapies. From Pfizer's foray into the ADC arena with the acquisition of Seagen to Roche's ventures in the field of inflammatory bowel disease, these moves are reshaping the industry and capturing the attention of stakeholders worldwide.
1. Pfizer's $43 Billion Acquisition of Seagen:
Pfizer, having reaped substantial cash inflows from its COVID-19 products, Comirnaty and Paxlovid, faced the challenge of finding new flagship products. To address this, Pfizer announced its acquisition of Seagen for $43 billion in March. Seagen, with its portfolio of FDA-approved drugs and cutting-edge technologies, strengthens Pfizer's oncology pipeline. The company projects that Seagen's products will generate over $10 billion in revenue by 2030, providing a much-needed boost to Pfizer's product portfolio.
2. AbbVie's $18.8 Billion Acquisition of Two Biotech Companies:
Similar to Pfizer, AbbVie confronted declining sales of its key product, Humira. In response, AbbVie pursued strategic acquisitions to bolster its pipeline. In November, AbbVie acquired ImmunoGen, an ADC-focused biotech company, for $10.1 billion, gaining access to the "first-in-class" ADC drug, Elahere. Additionally, AbbVie purchased Cerevel Therapeutics for $8.7 billion in December, strengthening its presence in the neurology field with promising candidates targeting Parkinson's disease and schizophrenia.
3. Merck's $10.8 Billion Acquisition of Prometheus:
In April, Merck finalized its agreement to acquire Prometheus Biosciences for approximately $10.8 billion. The acquisition allows Merck to tap into Prometheus' expertise in developing novel therapies for immune-mediated diseases, particularly inflammatory bowel disease. Prometheus' flagship product, PRA023, a monoclonal antibody targeting TL1A, shows promise in treating ulcerative colitis, Crohn's disease, and systemic sclerosis-related interstitial lung disease.
4. Roche's Expansion Efforts Exceeding $10 Billion:
Roche, determined to expand its pipeline, embarked on two significant acquisitions this year. In October, Roche acquired Telavant Holdings for $7.1 billion, gaining access to the TL1A antibody, RVT-3101, for the treatment of inflammatory bowel disease. In December, Roche paid an upfront payment of $2.7 billion, potentially reaching $4 billion in milestone payments, to acquire Carmot, securing a GLP-1/GIP receptor agonist in Phase 2 clinical trials.
5. Biogen's $7.3 Billion Acquisition of Reata:
In the face of setbacks in Alzheimer's disease drug development and a declining multiple sclerosis business, Biogen made a substantial investment of $7.3 billion to acquire Reata Pharmaceuticals in July. This move strengthened Biogen's presence in the neurology and rare diseases sectors. Reata's FDA-approved Nrf2 activator, Omaveloxolone, offers a treatment option for Friedreich's Ataxia, a rare genetic disorder affecting the nervous system.
6. Astellas' $5.9 Billion Acquisition of Iveric Bio:
In April, the Japanese pharmaceutical giant Astellas acquired Iveric Bio for $5.9 billion. Iveric Bio is a biotechnology company focused on developing novel therapies for retinal diseases.
In August of this year, Iveric's developed drug Izervay (Avacincaptad pegol), a intravitreal injection, received FDA approval for the treatment of geographic atrophy (GA) associated with age-related macular degeneration (AMD). Izervay is a PEGylated anti-C5 oligonucleotide drug that inhibits the cleavage of C5 into C5a and C5b. Excessive activity of the complement C5 protein is believed to play a critical role in the occurrence and progression of scar formation and vision loss associated with geographic atrophy (GA) secondary to AMD. By targeting C5, Izervay has the potential to reduce complement system activity, leading to retinal cell degeneration and potentially slowing the progression of GA.
7. BMS' $5.8 Billion Acquisition of KRAS Inhibitor:
In October, BMS announced its acquisition of Mirati Therapeutics for $58 per share, equivalent to $4.8 billion in equity value and a total potential value of up to $5.8 billion, considering associated value rights.
Mirati's core asset is a KRAS G12C inhibitor called KRAZATI (adagrasib), which has demonstrated best-in-class potential and has received FDA approval for the treatment of advanced non-small cell lung cancer (NSCLC) with KRAS G12C mutations that have received at least one prior systemic therapy. Mirati's pipeline also includes anti-tumor projects such as MRTX1719, MRTX1133, and MRTX0902. BMS stated that this acquisition will strengthen its oncology product portfolio and position in late-stage KRAS projects.
8. Novartis' $3.5 Billion Expansion into Kidney Disease:
In June, Novartis acquired Chinook for $3.5 billion, including $3.2 billion in upfront cash and contingent value rights of up to $300 million. Chinook focuses on the development of precision medicines for kidney diseases, including two late-stage clinical assets for the treatment of IgA nephropathy (IgAN): the endothelin A receptor antagonist (ERA) atrasentan and the APRIL monoclonal antibody zigakibat. On October 30, 2023, Novartis announced positive mid-term analysis results from the pivotal Phase 3 ALIGN study of atrasentan.
In addition to the $3.5 billion Chinook acquisition, Novartis also acquired DTx Pharma for $1 billion in 2023, gaining access to DTx Pharma's proprietary FALCON (Fatty Acid Ligand Conjugated Oligonucleotide) platform for developing siRNA-based drugs. DTx Pharma's lead program, DTx-1252, is a potential first-in-class therapy targeting the root cause of Charcot-Marie-Tooth type 1A (CMT1A), a rare disease characterized by overexpression of the PMP22 protein.
The pharmaceutical industry, especially in the United States, is a "big business, big variety" market. Small companies account for the majority of drugs developed, but only a small proportion of product sales. Compared with R&D investment, drug commercialization investment may require more capital, so the blockbuster is often born in big pharmaceutical companies. The cumulative sales of the world's TOP100 best-selling drugs in 2022 exceeded 500 billion US dollars. Most of the TOP100 drugs were sold by MNCS, and some came from biotech established in the 1980s, such as Gilead, Amgen, Biogen, Regeneron, and ForTech. However, only Moderna and BioNTech established after 2000 made the list with COVID-19 vaccines.
Since 1990, Roche acquired 60% shares of Genentech, marking the maturity of global mergers and acquisitions in the pharmaceutical industry, and the transformation of large pharmaceutical enterprises from R&D orientation to acquisition orientation. Roche bought Genentech completely for $46.8 billion in 2009. This year, Seagen and ImmunoGen, two ADC giants with the same reputation as Genentech, were also acquired by MNC successively, proving once again that biotech will either go bankrupt or be acquired.
