Johnson & Johnson to Acquire Intra-Cellular Therapies for $14.6 Billion
Johnson & Johnson and Intra-Cellular Therapies recently entered into a definitive agreement under which Johnson & Johnson will acquire all outstanding shares of Intra-Cellular Therapies, a biopharmaceutical company focused on developing and commercializing treatments for central nervous system (CNS) disorders.
J&J will acquire Intra-Cellular Therapies for $132.00 (€126.66) per share in cash, for a total equity value of approximately $14.6 billion (€14 billion).
"With nearly 70 years of experience in neuroscience, this unique opportunity to add intra-cellular therapeutics to our Innovative Medicines business demonstrates our commitment to transforming treatment and advancing research for some of today's most devastating neuropsychiatric and neurodegenerative diseases," said Joaquin Duato, Chairman and CEO of Johnson & Johnson. "This acquisition further highlights our portfolio, serves as a strategic catalyst for near- and long-term growth for Johnson & Johnson, and delivers compelling value to patients, healthcare systems and shareholders."
Under the agreement, Johnson & Johnson acquires Intra-Cellular Therapies' caplyta (lumateperone), an oral therapy approved for the treatment of adults with schizophrenia and bipolar depressive episodes. The acquisition also includes a clinical-stage pipeline that further complements and strengthens Johnson & Johnson's current areas of focus.

The transaction is expected to close later this year, subject to regulatory approvals and customary closing conditions.
