Pfizer to Divest Entire 7.3% Stake in Haleon as Market Dynamics Shift

ECHEMI 2025-03-20

In a significant move, Pfizer announced its decision to sell its entire stake in Haleon, the British consumer healthcare company formed from the merger of GSK and Pfizer's consumer healthcare sectors in 2019. The sale includes approximately 662 million ordinary shares, representing 7.3% of Haleon’s total shares. This decision comes as Pfizer aims to reshape its portfolio amid changing market conditions.

As part of this transaction, Haleon, known for its popular products like Sensodyne, will buy back shares worth $220 million from Pfizer, marking a shift in shareholder dynamics. Following this divestiture, BlackRock Investment Management (UK) Ltd will emerge as Haleon's largest shareholder, controlling over 5% of the company, according to data from LSEG.

This sale follows GSK's earlier decision to divest its nearly 13% stake in Haleon in May 2024. As Pfizer moves forward with the sale, Haleon has indicated that its revenue and profit growth for 2025 is expected to be heavily weighted towards the latter half of the year.

Pfizer's strategic exit from Haleon underscores a broader trend in the pharmaceutical industry, where companies are reassessing their investments in consumer healthcare to focus on core areas of growth. As this situation develops, stakeholders will be watching closely for further implications in the industry landscape.
