ZimVie, a prominent orthopedic leader, recently announced the completion of the sale of its spine business, solidifying its strategic focus on dental services. The transaction, valued at a staggering $270 million (equivalent to approximately ¥2.7 billion), consists of a cash payment of $315 million and $60 million in promissory notes (payable within five and a half years with an annual interest rate of 10%). ZimVie had previously separated its dental and spine divisions in March 2022. While dental sales demonstrated positive growth, the spine business struggled to achieve similar results. In the third quarter of 2023, ZimVie reported a modest 0.2% increase in third-party dental sales, while third-party spine sales declined by 9.8%. Faced with performance challenges, ZimVie opted for further streamlining and announced the sale of its spine, sports, and EBI® bone healing product portfolio and services to H.I.G. Capital, a leading global private equity firm headquartered in Miami, with over $31 billion in managed capital. Vafa Jamali, President and CEO of ZimVie, expressed optimism that this transaction would provide funding for the growth of their dental business and innovative platform, as well as help reduce ZimVie's debt burden. ZimVie's latest projections indicate an expected annual net sales revenue of $455 million, with plans to immediately repay $275 million of outstanding debt upon completion of the deal.

 

The orthopedic market has been experiencing robust growth driven by increased clinical demand and technological advancements, leading to intensified competition among industry giants. Notably, other major players in the industry have also reported positive performances. For instance, JMBM achieved a 6.5% year-on-year increase in net sales revenue, reaching $7.394 billion in 2023. Similarly, Stryker reported a substantial 11.11% growth in net sales revenue, amounting to $20.498 billion, with its orthopedic and spine business contributing $8.7 billion, representing an organic growth of 11.1%. Johnson & Johnson's Medical Devices segment witnessed a 10.8% increase in sales revenue, reaching $30.4 billion, with the orthopedic business accounting for $8.942 billion, marking a 4.1% growth. These figures reflect the significant growth potential of the orthopedic market, driven by economic development and the adoption of technologies such as robot-assisted surgeries. According to Statista, the global orthopedic market was valued at $40.9 billion in 2021, with an estimated potential to reach $60 billion by 2027, indicating a compound annual growth rate of 6% from 2022 to 2027.

 

In the Chinese market, the orthopedic consumables industry has been expanding rapidly, with an anticipated compound annual growth rate of over 15% from 2022 to 2025. As a result of centralized procurement, domestic brands have gained momentum, posing challenges for international brands. The recent withdrawal of ZimVie's spine business from the Chinese market and Stryker's exit due to failed bidding for spine procurement contracts exemplify the impact of centralized procurement on imported brands. However, international giants such as Johnson & Johnson, Stryker, and JMBM have actively pursued localization strategies, investing in research and development and production capabilities to tap into the immense potential of the Chinese market.

 

The completion of the multi-billion dollar sale in the orthopedic industry signifies a significant milestone, reshaping the competitive landscape and paving the way for new opportunities. As the market continues to grow and evolve, both domestically and globally, companies must adapt to changing dynamics and leverage technological advancements to stay ahead.
