DuPont Plans to Divest the Electronics Business on November 1, 2025
DuPont announced the acceleration of the separation of the Electronics business, and the transaction is now scheduled to close on November 1, 2025. This decision recognizes the scale and importance of the Electronics business to the overall shareholder value creation opportunity, as well as DuPont's desire to complete the separation as quickly as possible.
In addition, DuPont no longer intends to divest its Water business. The company evaluated all strategic alternatives and concluded that the best path to value creation is to keep the Water business in the DuPont portfolio. This also enhances DuPont's ability to continue to optimize its portfolio after the Electronics business divestiture.
Ed Breen, Executive Chairman of DuPont, said: "We continue to believe that we have an opportunity to create significant shareholder value by divesting the Electronics business. Achieving the independence of the Electronics business as soon as possible is the right decision for our shareholders."
DuPont CEO Lori Koch added: "We remain excited about the opportunities for DuPont to create value in the Electronics business following the separation. The decision to keep the Water business within DuPont provides the new organization with greater strategic flexibility and another high-growth business in addition to healthcare. We continue to believe in the bright future of the Water business and expect 2025 to be a strong year for the business."
DuPont reaffirmed its financial guidance for fourth quarter and full year 2024 net sales, operating EBITDA and adjusted earnings per share, which was provided as part of its third quarter earnings release on November 5, 2024, including the expectation that the performance of the Water business will continue to improve.
