Mitsubishi Chemical to Sell Tanabe Pharma to Bain Capital for ¥510 Billion Reshaping Future Strategies
On February 7, Mitsubishi Chemical announced a definitive agreement to sell Tanabe Pharma to Bain Capital for approximately ¥510 billion (around ¥245 billion RMB). This transaction is expected to be approved at the annual shareholders' meeting scheduled for late June 2025, with finalization anticipated in the second quarter of 2026.
Mitsubishi Chemical cited the need for significant investments to enhance Tanabe Pharma's research capabilities and future development, which they believe cannot be achieved under their ownership. By transferring Tanabe Pharma to Bain Capital, the company aims to leverage Bain's extensive experience in healthcare investments to accelerate business growth.
The proceeds from this sale will be allocated to five key business areas outlined in Mitsubishi Chemical's "KAITEKI Vision 35" and other new growth investment sectors. Mitsubishi Chemical Group includes Mitsubishi Chemical Corporation, Tanabe Pharma, and Japan Oxygen Holdings. Mitsubishi Chemical is responsible for producing and selling chemical products, while Tanabe Pharma focuses on the manufacture and sale of medical pharmaceuticals.
Since becoming a wholly-owned subsidiary in 2020, Tanabe Pharma has benefitted from synergy with Mitsubishi Chemical's internal technical and human resources. However, changes in the industry and business structure have diminished the potential for further synergy.
In November 2024, Mitsubishi Chemical revealed its "KAITEKI Vision 35," aiming for a core operating income of ¥570 billion (around ¥274 billion RMB) by 2029 and ¥900 billion (approximately ¥432.9 billion RMB) by 2035. The company plans to concentrate on five sectors: mobility, semiconductors, food, healthcare, and green chemicals. By divesting non-core businesses and investing actively in growth sectors, Mitsubishi Chemical aims to quickly enhance its profitability, targeting a core operating profit of ¥550 billion from its chemical operations by 2035.
